General terms and conditions
The terms that apply to clinical advisory services by Dr. Eno Lavrysen Neurochirurgie BV for companies and organisations.
1. Scope
Dr. Eno Lavrysen Neurochirurgie BV
Mortsel, Belgium
Company and VAT number: BE 0728.507.018
Represented by dr. Eno Lavrysen, physician specialised in neurosurgery
E-mail: info@drlavrysen.be
These terms apply to every offer, proposal and agreement for clinical advisory services by Dr. Eno Lavrysen Neurochirurgie BV (“the Consultant”), performed by dr. Eno Lavrysen, for a company, organisation or professional (“the Client”). They apply to business clients only, not to consumers or patients.
Deviations are only valid if agreed in writing. The Client’s own general terms do not apply unless the Consultant accepts them expressly in writing. If a signed proposal or agreement contradicts these terms, the proposal or agreement prevails.
2. Proposals and engagements
Proposals are free of charge and valid for 30 days unless stated otherwise. An engagement starts when the Client accepts a written proposal (e-mail is sufficient) or signs an agreement. The proposal describes the scope, format, timing, fee and deliverables. Work outside that scope is agreed in writing beforehand.
The free 30-minute intro call is not an engagement and creates no obligations for either party.
3. Nature of the services
- The services are advisory: clinical expertise, opinions and recommendations based on dr. Lavrysen’s training and experience as a neurosurgeon.
- They are not medical care. No doctor-patient relationship arises with the Client, its staff or third parties, and no diagnosis or treatment advice is given for individual patients.
- The Consultant does not take part in promotion or advertising towards patients or the public, and gives no product endorsements or testimonials.
- The Client remains solely responsible for its own decisions, products, clinical evaluation, regulatory compliance (including the EU Medical Device Regulation) and communication.
- The Consultant has an obligation of means, not of result: he performs the services with care and to the best of his ability, but does not guarantee a commercial, regulatory or clinical outcome.
4. Independence and compliance
- Fees reflect the work performed and its market value. They are never linked to the prescription, use, purchase or recommendation of any product, and do not create any obligation of that kind, in line with the Belgian rules on premiums and benefits in healthcare.
- Where the law requires it, the Client reports transfers of value to the Consultant, for example under the Belgian Sunshine Act on betransparent.be.
- The Consultant may disclose the existence of an engagement to his hospitals and in conflict-of-interest declarations, without disclosing confidential content.
- The Consultant follows the Belgian Code of Medical Deontology and his hospital obligations, and may decline or stop any request that conflicts with them.
- The Client shares no information that it may not lawfully share, such as patient data or inside information on listed companies.
5. Fees, invoicing and payment
Fees are set in the proposal as a session fee, day rate, fixed fee or monthly retainer. Amounts are in euro and exclude VAT. Reasonable travel and accommodation costs for on-site work are charged at cost, after prior agreement.
Unless agreed otherwise, invoices are sent after each session, at the end of a fixed-fee engagement, or monthly in advance for retainers. Invoices are payable within 30 days of the invoice date. Disputes about an invoice must be raised in writing within 14 days.
If an invoice is paid late, statutory interest under the Belgian Act of 2 August 2002 on late payment in commercial transactions is due automatically and without notice, together with the statutory flat-rate compensation for recovery costs. The Consultant may suspend the work until the outstanding amounts are paid.
6. Rescheduling and cancellation
Sessions can be rescheduled free of charge up to 2 working days in advance. For later cancellations, 50% of the session fee is charged. Work already performed and costs already made are always due.
Because dr. Lavrysen is a practising surgeon, a session may exceptionally have to be moved at short notice for an urgent clinical obligation. In that case a new date is offered as soon as possible, at no extra cost and without any compensation being due.
7. Confidentiality
Both parties keep confidential all non-public information they receive from each other in the course of an engagement and use it only for that engagement. This obligation continues for 5 years after the engagement ends, or longer if a separate non-disclosure agreement says so. It does not apply to information that is public, was already known lawfully, or must be disclosed by law.
If the parties sign a separate non-disclosure agreement, that agreement prevails on confidentiality.
8. Intellectual property and use of names
After full payment, the Client may use the deliverables (reports, summaries, presentations) for its own internal purposes and for the purpose described in the proposal. The Consultant keeps his general knowledge, methods and experience and may continue to use them, without disclosing the Client’s confidential information.
Neither party uses the other’s name, logo or quotes in marketing, publications, investor materials or regulatory files without prior written consent. This also applies to presenting the Consultant as an endorser, author or investigator.
9. Liability
The Consultant is only liable for direct damage caused by his own fault in performing the engagement. He is not liable for indirect or consequential damage, such as loss of profit, revenue, data or opportunity, or for decisions the Client takes on the basis of the advice.
The total liability per engagement is limited to the fees paid by the Client for that engagement in the 12 months before the event causing the damage. These limitations do not apply to damage caused intentionally or by fraud, or where the law does not allow them.
10. Personal data
Personal data are processed as described in the privacy statement. If an engagement requires the Consultant to process personal data on the Client’s behalf, the parties first sign a data processing agreement.
11. Duration and termination
Engagements for a single session or a fixed scope end when the work is delivered. Retainers run for the period in the proposal and can be ended by either party with one month’s written notice.
Either party may end an engagement with immediate effect by written notice if the other party seriously breaches its obligations, or if continuing would conflict with the law, medical deontology or the Consultant’s hospital obligations. Work performed until then remains payable.
12. Force majeure
Neither party is liable for delays or failures caused by circumstances beyond its reasonable control, such as illness, accidents, strikes, outages or government measures. The parties then agree on a new timing or end the engagement without compensation, apart from work already performed.
13. Applicable law and disputes
These terms and every engagement are governed by Belgian law. The parties first try to settle any dispute amicably. Failing that, the courts of Antwerp, division Antwerp, have exclusive jurisdiction.
14. Version
The version in force on the date of the proposal applies to that engagement.
